Members of Prokon Regenerative Energien eG have established the energy cooperative Windauf eG to actively participate in projects for renewable energies - wind and solar parks. The Windauf eG works closely with Prokon.

The best part: the projects do not have to be sold to third parties but remain within the "family". Looking into the crystal ball, in the future, both cooperatives could merge if our members decide to do so, for example, after the full repayment of the Prokon bond.

Prokon eG and Windauf eG are legally independent cooperatives that collaborate in certain areas on a contractual basis.
The following questions and answers explain the legal classification, the division of responsibilities, the economic effects of project sales, as well as issues concerning the consolidation, governance, and auditing of both cooperatives.
The aim is to present the structure, responsibilities, and decision-making processes in a transparent and comprehensible manner.
Der Stichtag der Veräußerung der Windparks Blumberg und Langwieden liegt im Jahr 2025.
Die Erträge aus den im Jahr 2025 erfolgten Verkäufen der Windparks Blumberg und Langwieden sind Bestandteil der im Jahresabschluss der Prokon eG zum 31.12.2025 in der Gewinn- und Verlustrechnung ausgewiesenen sonstigen betrieblichen Erträge iHv. 16.158 T€. Dem Anhang ist unter C.II.3. eine Erläuterung der darin enthaltenen wesentlichen Erträge zu entnehmen, wobei hierfür die Erträge aus Verkauf von Finanzanlagen iHv. 6.056 T€ maßgeblich sind.
Die dem Verkauf der beiden Windparks zugrundeliegenden Kaufpreise entsprechen exakt den Werten, die von der dazu beauftragten unabhängigen Wirtschafsprüfungsgesellschaft als objektivierte Kaufpreise ermittelt wurden. Dass bei einem Verkauf an einen Meistbietenden höhere Kaufpreise zu erzielen gewesen wären, ist insoweit nicht nachvollziehbar, da jeder potentielle Erwerber Kaufpreise vom Grundsatz her in gleicher Art und Weise ermittelt wie durch die beauftragte Wirtschafsprüfungsgesellschaft erfolgt und eine Transaktion mit der Windauf, im Gegensatz zu einer Ausschreibung und einem Verkauf an einen Dritt-Investor, den Vorteil von sehr geringen Kosten und personellem Ressourceneinsatz hat.
Die Entwicklung der Windparkgesellschaften kann den im Unternehmensregister veröffentlichten Jahresabschlüssen entnommen werden.
Auf die Mittelfristplanung der Prokon eG hat der Verkauf der beiden Windparks an die Windauf eG keine Auswirkung.
Im Rahmen des zwischen der Prokon eG und der Windauf eG bestehenden Dienstleistungsvertrags wurde für das Jahr 2025 ein Betrag von 50.934,24 € zzgl. USt abgerechnet, der ein Bestandteil der in der Gewinn- und Verlustrechnung ausgewiesenen Umsatzerlöse ist.
Im Rahmen der ordentlichen Generalversammlung in Siegen im Juni 2019 wurde ein Meinungsbild bzgl. einer „direkteren“ Beteiligungsmöglichkeit an neuen Windparks der Prokon eG eingeholt. Dabei ergab sich ein deutliches Interesse der Mitglieder, welches im Übrigen auch im Vorwege durch den Verein FvP an Prokon herangetragen wurde (mit der Fragenliste gem. Beschluss des Gesamtvorstandes FvP vom 13.06.2019).
Explizit lautete die Frage wie folgt:
„Frage 16 b. Warum wurden die Windparks nicht zuerst den Mitgliedern der eG angeboten, so wie es seit 2016 geplant wird?“
Antwort Prokon-Vorstand:
„Bekanntlich ist den Mitgliedern angeboten worden, sich an dem Projekt Gagel zu beteiligen. Das Interesse war damals relativ gering. Prokon arbeitet derzeit allerdings an einem neuen Modell der Beteiligung auf Basis einer genossenschaftlichen Lösung. Dieses Modell muss u.a. aus verbraucherschutzrechtlichen Gründen vernünftig vorbereitet werden. Wir befinden uns derzeit in den letzten Zügen der Vorbereitung und werden noch in diesem Jahr den Mitgliedern ein Angebot zur Beteiligung machen. Wir glauben, dass diese Lösung auf ein deutlich höheres Interesse stoßen wird.“
Daraufhin wurde Ende 2019 die Energiegenossenschaft Windauf gegründet.
Somit ist es eindeutig, dass es nicht korrekt dargestellt ist, die Gründung der Windauf wäre ohne die Einbeziehung oder Vorabinformation der Prokon-Mitglieder vorgenommen worden.
Die Vorstandsvergütungen sind im Jahresabschluss der Windauf eG angegeben. Der Jahresabschluss wird im Unternehmensregister hinterlegt.
Aufsichtsräte erhalten keine Vergütung, sondern ein Sitzungsgeld. Bei Teilnahme erhalten Mitglieder je nach Funktion ein sehr niedriges vierstelliges oder höherer dreistelliges Sitzungsentgelt.
Die konkreten wirtschaftlichen Auswirkungen lassen sich – In Abhängigkeit von den weiteren wirtschaftlichen Entwicklungen beider Genossenschaften – erst im Rahmen der Vorbereitungen einer konkreten Verschmelzungsentscheidung bestimmen.
Eine sehr große Mehrheit der ordentlichen Mitglieder der Windauf eG sind gleichzeitig Mitglieder der Prokon eG. Durch die unterschiedlichen, sich sehr gut ergänzenden Aufstellungen beider Genossenschaften ist ein Auseinanderfallen ihrer Interessen unwahrscheinlich. Im Übrigen gab und gibt es Mitglieder diese Vereins in der Windauf.
Eine Direktinvestition in einen Prokon-Windpark ist aus verschiedenen Gründen (u.a. voraussichtliche Prospektpflicht aufgrund Publikums-KG / sehr hohe Verwaltungskosten) derzeit nicht vorgesehen.
Windauf eG was founded to offer members an additional opportunity to participate in the operation of renewable energy installations while at the same time keeping projects permanently within the cooperative environment.
Its establishment was preceded by suggestions from the membership, who – particularly in light of individual project sales – expressed a desire for a more direct form of involvement in specific installations.
Alternative participation models were also considered. With Windauf eG, a deliberate decision was made in favour of an independent cooperative solution that combines participation, involvement, and economic viability.
It enables Prokon eG to transfer individual completed projects not to external investors, but to an independent cooperative within the cooperative network. This creates a dual benefit: Prokon gains entrepreneurial flexibility, while members are given the opportunity to participate directly in the operation of individual installations.
In doing so, Windauf eG complements the business model of Prokon eG without replacing or altering it.
Both are legally independent cooperatives with their own statutes, governing bodies, and member base. Contractually regulated cooperation and business relationships exist between them, but there is no corporate dependency and no controlling influence.
Prokon eG remains an integrated energy cooperative that covers almost all stages of the value chain – from project development through construction and operation to electricity marketing.
In contrast, Windauf eG is designed as an investment cooperative. It does not develop its own projects but exclusively invests in already realised installations.
It is organised in a lean structure and draws on the expertise of Prokon eG for technical and commercial services based on contractual agreements. It expands the range of cooperative participation, while Prokon continues to fulfil its role as a participatory full cooperative without change.
As part of its economic realignment, Prokon eG has aligned its business model to specifically combine project development and project operation. A key element of this model—depending on the asset, financial, and earnings situation—is the generation of revenue through the sale of completed projects.
Such revenues can only unfold their full economic impact for Prokon when projects are sold to legally independent third parties. Sales within the same corporate group would be accounted for differently and could not realise these effects in the same way.
Windauf eG is an independent cooperative that enables projects to be sold not to external investors, but within the cooperative environment. In this way, Prokon combines the necessary economic rationale of project sales with the aim of keeping installations as much as possible in the hands of its members.
The selling prices are based on market-standard valuations using recognised valuation methods.
External expert reports serve as a professional basis for the decisions of the responsible bodies within the scope of their statutory responsibilities.
Expert reports contain confidential business information that concerns both Prokon eG and its project partners. Publishing such information would disclose details relevant to competition.
Members of a cooperative have clearly regulated rights to information and participation. They receive audited and aggregated information on the financial situation – in particular through annual financial statements and within the framework of the general assembly.
Project-specific individual terms or expert reports beyond this are – as is customary in cooperatives – part of operational management and remain confidential for reasons of competition and data protection.
Personnel overlaps are generally permissible and also common within the cooperative environment.
Any potential conflict of interest is examined on a case-by-case basis, documented, and taken into account by the responsible committees. Decisions are made by the respective governing bodies; the responsibilities of the Management Board, Supervisory Board, and General Assembly are clearly separated from one another.
This ensures that each cooperative makes its decisions independently and under its own responsibility.

Prokon eG provides technical, commercial, and organisational services for Windauf eG. These services are contractually regulated and enable efficient use of existing structures, experience, and expertise. The revenue generated from these services strengthens Prokon eG's earnings base and contributes to supporting the financing of new projects within the cooperative environment.
No. Participation in Prokon eG and an investment in Windauf eG follow different participation approaches and objectives.
Prokon eG represents an overall entrepreneurial participation with the goal of advancing the expansion of renewable energies and climate protection as a whole. Windauf eG, on the other hand, enables targeted participation in already realised installations, with a focus on a clear and reliable return on the capital invested.
Both approaches appeal to different motivations and complement each other. Members voluntarily decide whether and in what form they wish to get involved.
Project sales to so-called "third parties" increase the liquidity and financial flexibility of Prokon eG. In addition, Prokon generates ongoing revenues from services, which contributes to economic stability.
Windauf eG is legally and economically independent and is therefore not included in the consolidation scope of Prokon eG.
Prokon does not hold a majority interest or controlling influence there. Both cooperatives prepare separate financial statements and are each subject to their own statutory audit.
Both Prokon eG and Windauf eG are subject to the statutory audit obligation by the competent cooperative association. In addition, their respective supervisory boards monitor the management.
The General Assembly is the highest governing body of Prokon eG. It decides on fundamental matters of the cooperative – particularly issues relating to the statutes, the appropriation of annual results, and the election of the Supervisory Board – and receives reports from the Management Board and the Supervisory Board.
The operational management of the cooperative lies with the Management Board. It acts within the framework of legal and statutory provisions and is accountable to the Supervisory Board and the General Assembly. This also includes the ongoing management of projects, including decisions on their sale in accordance with the existing business and financing logic.
The establishment of independent cooperatives falls outside the responsibility of the Prokon General Assembly. Windauf eG therefore remains legally independent.
A merger is not a short-term measure but a long-term option.
The Supervisory Board of Prokon eG is carefully examining possible conditions and steps. A merger would only be possible with the approval of the members of both cooperatives and based on a clear legal and economic foundation.
Whether and when a corresponding proposal will be made depends on the further development of both cooperatives.
